Off-shore Corporate Services - Cayman Islands -

Job Description:


Corporate Services /Trust / Company Secretary is now required by a global Fund Administration company to be based in the CAYMAN ISLANDS. Applications are invited from ICSA qualified Chartered Secretaries with at least 3 years relevant company secretarial experience including extensive experience of fund administration. understanding of corporate entities incorporated in different jurisdictions, experience of using a company secretarial software package and experience of working in a global financial services group.

Key requirements:
1. Corporate Secretarial work for external clients
2. Experience running board meeting (not just assisting), preparing board packs and taking minutes
3. Preparing company resolutions/making filings
4. ICSA qualification completion or anticipated graduation within the next year
5. Investment Funds/Trust experience

You will be responsible for :-
providing advice on the conduct of Board and Director meetings,
providing advice on incorporation and liquidation of corporate entities
compiling meeting agendas
compiling and distributing Board packs
attending Board / Director meetings
drafting minutes of Board / Director meetings
drafting written resolutions
making regulatory filings / statutory returns
ensuring that the entity complies with its Memorandum and Articles (or relevant incorporation documentation)
advising on corporate governance
referring matters to the Legal team to ensure appropriate legal documentation is in place for corporate transactions
assisting with the establishment of corporate entities (including collective investment schemes, protected cell companies, incorporated cell companies, limited partnerships and special purpose vehicles)
liaising with directors as to queries related to Board meetings
instructing / liaising with external counsel, regulators and other third party service suppliers as required
providing ongoing training and development of staff (as required)
